CONSTITUTION AND BY-LAWS
Article I
NAME
The name of this golf club shall be “Alondra Park Men’s Golf Club”.
Article II
PURPOSE
FIRST: To stimulate interest in golf for the Alondra Park Men’s Golf Club by bringing together a group of golfers desirous of forming a golfing organization.
SECOND: To promote and foster among the members a closer bond and fraternity for their joint and mutual benefit, and to promote and conserve the true spirit of the game of golf as embodied in its ancient and honorable traditions.
THIRD: To encourage conformance to the Rules of Golf by creating a representative authority.
FOURTH: To maintain a uniform system of handicapping as set forth in the USGA Handicap System™ and issue an SCGA/USGA Handicap Index to each of its members.
FIFTH: To provide an authoritative body to govern and conduct club competitions and functions.
Article III
MEMBERSHIP
Section 1. Membership shall be available to all men/women of any age. There will be 3 levels of membership Full – can vote in club matters and are eligible for prize fund in events; Associate – cannot vote and are not eligible for prize fund payouts in events; Junior must be under the age of 19. There shall be a least 10 members.
Section 2. Memberships in the club are individual and non-transferable.
Section 3. Only golfers with a reasonable and regular opportunity to play golf with fellow members and who can personally return scores for posting may be members and receive an SCGA/USGA Handicap Index from the club.
Section 4. Membership confers no voice in the operation of any golf courses, clubhouses nor any facilities of the courses.
Section 5. Membership confers no special privileges in connection with any golf course.
Section 6. Memberships in the club are on a 12-month cycle. Membership will last for 365 days from the date the member joins the club.
Section 7. The fiscal year for the club will be January 1st through December 31st.
Section 8. The Board of Directors may confer honorary memberships upon those whom they feel have contributed to the advancement of golf. Past presidents will be given honorary status with no club fees.
ARTICLE IV
OBLIGATION AND DISCIPLINE
Section 1. Acceptance of membership in the Club will bind each member to abide by all the conditions, rules and regulations of these Bylaws and to accept and comply will all of the decisions and regulations of the Board of Directors promulgated within its jurisdiction.
Section 2. Refusal to comply strictly and honorably with these Bylaws or with the rules and regulations of the Club, or with the decisions and regulations of the Board of Directors, will render any member liable to suspension or expulsion from the Club by a two-thirds vote of the members in meeting assembled.
Section 3. No member will be suspended or expelled without formal charges in writing having been made and filed with the Secretary of the Club, and an opportunity having been given to such member to be heard in his defense before the Board of Directors.
ARTICLE V
GOVERNMENT AND MANAGEMENT
Section 1. The control and management of the affairs, funds, and property of the Club will be vested in the Board of Directors, consisting of the elected officers of the Club.
Section 2. The term of office for all Officers will be one year from the date of one annual meeting of the Club to the next. The annual election of Officers and Directors will be held at the regular meeting of the Club immediately prior to the annual meeting.
Section 3. Voting for election of Officers will be by secret ballot (for contested offices) of the general membership assembled at the regular meeting of the Club immediately prior to the annual meeting.
Section 4. No Officer of the Club or Director or members serving in any capacity will receive any salary or compensation from the funds of the Club. For the purposes of this Section. "compensation" is defined as the receipt of monies in excess of reasonable expenses incurred while conducting ordinary and legitimate Club business.
Section 5. Any vacancy which occurs in any office by resignation, protracted absence, serious illness, or other causes rendering the officer or director unable or unwilling to serve, will be filled by a person appointed by the Board of Directors, who will serve until the next annual meeting of the Club.
Section 6. All checks, bonds, warrants, contracts, or other instruments in writing, necessary for the regular conduct of the Club business, will be signed by the Treasurer or Secretary and the President, or.in the absence of the President or his inability to act, by the First Vice President or the Second Vice President however, only after special authorization by the Board of Directors.

ARTICLE VI
MEETINGS
Section 1. Regular meetings of the Club will be held on the second Tuesday of each January, March, May, July, September and November at a place designated by the Board of Directors and at a time designated by the Board of Directors. Notice of all regular and special meetings of the Club will be given to all Club members by the Secretary or the Chairman of the Public Relations Committee.
Section 2. Special meetings of the Board of Directors can be called at any time by the Secretary on order of the President or five members of the Board of Directors. The Secretary will give each Officer and Director notice of the time and place of such meeting at least five days in advance of such meeting.
Section 3. The annual meeting of the Club and formal installation of newly elected Officers and Directors for the ensuing year will be held at the regular Club meeting in November.
Section 4. Notice of the annual meeting, and the time and place thereof, will be given in writing to all members of the Club by the Secretary or the Chairman of the Public Relations Committee.
Section 5. The following will be the Order of Business at all regular and special meetings of the Club:
1. Exclusion or introduction of all guests.
2. Roll call of Officers, Directors of Record.
3. Reading of last meeting Minutes.
4. Committee reports.
5. Unfinished business.
6. New business.
7. Bills.
8. Adjournment.
Section 6. The following will be the Order of Business of the Annual Meeting of the Club.
1. Roll call of the Officers, Directors of Record.
2. Introduction of invited guests and dignitaries.
3. Reading of last Annual Meeting Minutes.
4. President's report.
5. Secretary's report.
6. Treasurer's report.
7. Committee's reports.
8. Unfinished business.
9. Introduction and installation of newly elected Officers for the ensuing year.
10. Announcement and introduction of Standing Committees for ensuing year.
11. New business.
12. Adjournment.
Article VII
BOARD OF DIRECTORS
Section 1. The Board of Directors shall consist of nine members in good standing of the Alondra Park Men’s Golf Club and they shall exercise all powers of management of the club not specifically excepted by these By-Laws.
Section 2. At least five weeks prior to the Annual Meeting, the Board of Directors shall appoint a nominating committee consisting of five members of the organization. At least four weeks prior to the Annual Meeting, this committee shall submit to the Board and shall post a list of nominees to fill any vacancies for the term of office beginning on the day of the meeting. Names of other members in good standing may be nominated by petition signed by a least ten members and submitted to the Board at least two weeks prior to the Annual Meeting. At least one week prior to the Annual Meeting, a list of all candidates nominated shall be distributed to each member via appropriate means and a copy of such list shall be posted.
Section 3. Voting (for contested offices) shall be written ballot and those names receiving the greatest number of votes cast shall be declared to be elected. The Board shall appoint a committee of three judges who are not members of the Board or candidates for election to supervise the election.
Section 4. The Board of Directors shall meet at such times and places as they may select and a majority of the Board shall constitute a quorum at any meeting.
Section 5. In the case of any vacancy through death, resignation, disqualification or other cause, the remaining directors, even though less than a quorum, may elect a successor by majority vote to hold office for the unexpired term of the director whose place shall be vacant, and until the election of his successor.
Article VIII
OFFICERS AND COMMITTEES
Section 1. The officers shall consist of president, first vice-president, second vice president; membership chair; secretary; treasurer, entertainment chair; SCGA Delegate; and Communications chair their duties shall be such as their titles would indicate or such as may be assigned to them respectively from time to time.
Section 2. The Board of Directors shall authorize and define the powers and duties of all committees. Chairs and members of all committees shall be appointed by the president, and the president shall be an ex-officio member of all committees except the nominating committee.
Section 4. The following committees shall be appointed each year, with such other committees as the president may deem necessary or advisable:
First Vice President will be the Tournament Committee Chairman to arrange and schedule with the management of any golf course as necessary, and conduct all intra-club and inter-club competitions.
2nd Vice President will be the chair of Handicap Committee composed primarily of members with the responsibility to establish a fair and proper system of handicaps in accordance with procedures set forth in The USGA Handicap System Manual and requirements of the Southern California Golf Association.
The Immediate Past President will be Membership Committee chairman to investigate and act upon all applications for membership and to recommend appropriate action to the Board of Directors.
Entertainment Committee to encourage and arrange social entertainment features and events for special occasions.

ARTICLE IX
QUORUM
Section 1. There will be no fixed quorum required to transact official business at any regular Club meeting.
Section 2. Official business of and by the Board of Directors of the Club may not be transacted at any meeting of the Board of Directors unless at least five members of the Board are present.
ARTICLE X
DUES & TOURNAMENT ENTRY FEES
Section 1. The annual dues for membership in this Club will be the sum of $40.00 per year, plus the per capita fee required by SCGA rounded up to the nearest $5.00 increment. Due and payable on or before the members expiration date.

Section 2. The Chairman of the Membership Committee will be obligated to have renewal applications available for the upcoming year.
Section 3 Alondra Park Men’s Golf Club Tournament Policy
All members (full and associate) are eligible to play in all club tournament and events.
To promote better participation there will be no entry fee charged for the Sunday and Wednesday tournaments. Participants will pay their own green fee, cart fee and any side pots.
This policy applies to full members only. Associate members may play on tournament days but may not participate in the tournament nor win prizes. They may participate in the side pots. Associate members are not eligible to win the Club Championship in August.
Associate members may upgrade their membership at any time in order to be a full participant in the tournaments and eligible for prize funds.
Article XI
AMENDMENTS TO BY-LAWS
Section 1. The Board of Directors shall have the power to repeal or amend any of these By-Laws provided that such action shall not be effective until approved by a majority vote of the members of Alondra Park Men’s Golf Club at a meeting held in accordance with the provisions contained herein.

ARTICLE XII
PROCEDURE
Section 1. Robert's Rules of Order will govern procedure at all meetings except as otherwise herein provided.
The original Constitution and Bylaws of the ALONDRA PARK MEN'S GOLF CLUB were duly adopted by vote of the members at a special meeting duly called for that purpose on March 21, 1950.
Amended and approved March 8, 2022.
